Terms and Conditions

These Terms and Conditions (‘Competition Terms and Conditions’) apply to the World of Opportunity Initiative (‘Competition’) organised by GEMS Group Holdings Limited Dubai Branch, a company incorporated in the United Arab Emirates with commercial license number 804626 whose registered office is at GEMS Education Building, Sheikh Zayed Road, Al Quoz Industrial Area 3, Dubai, United Arab Emirates (“GEMS Education”); and The Hongkong and Shanghai Banking Corporation Limited (“HSBC”) HSBC Bank Middle East Limited whose registered office is at HSBC Tower, Downtown, Dubai, P.O.Box 66, United Arab Emirates.

ELIGIBILITY

1. The Competition is open to individuals who:
   Are between 14-19 (fourteen to nineteen) years of age by Friday 1st of December and who are a student at any GEMS Education School in the UAE (“Student”); 

AGREEMENT TO TERMS AND CONDITIONS

By entering into the Competition, you:

1. Confirm that you have read and accepted these Competition Terms and Conditions;
2. Agree to be fully and unconditionally bound by these Competition Terms and Conditions and any amendments to them.
3. Represent and warrant that you meet the eligibility requirements; and
4. Accept the decisions of GEMS Education and/or HSBC, as they relate to the Competition, as final and binding.

COMPETITION

1. In order to enter the Competition, Student participants must:
   (i) Create a short video (maximum 30 seconds long) on the theme “The Area of Sports I Would Like to Work in and Why” (“Video”). The Video can only show the Student themselves.
   (ii) Upload the Video on HSBC World of Opportunity Programme (gemsforlife.net)
   (iii) Complete the application form through the registration page: Save the video in the naming convention Student first and last name_Class_School and upload the video. Incomplete registration forms will be considered null and void.
2. Submissions will be accepted from 1600 on 3rd November 2023 until 24:00 on 14th of November 2023- UAE standard time. No submissions will be accepted after that time.
3. Only one (1) application into the Competition per Student.
4. Students must not submit videos containing copyright-protected material, such as brand placement, logo’s and copyrighted music.   
5. Videos that portray or otherwise include inappropriate and/or offensive contents, will be disqualified.
6. GEMS Education and HSBC reserve the right to reject any entry into the Competition without any explanation or prior notice.

PRIZES

1. 1. GEMS Education and HSBC are offering the following prizes to the selected winning entrants to the Competition. There will be a total of 30 (thirty) winners selected :
   Student workshops conducted by HSBC at The Sevens Stadium in Dubai on the 1st of December, 2023, covering a range of sports-related topics, from commentating to rugby writing to sports event planning. 
   Parents to drop-off/pick-up children to/ from GEMS Winchester School, Dubailand at the following times :
   Drop-off timing: 0830
   Pick-up timing : 1700
   
   Students who do not arrive on time will be disqualified and will be unable to participate in the workshop due to safeguarding reasons. 
   
   2. If, for any reason, the Competition is not capable of being conducted as anticipated, due to causes beyond the control of GEMS Education and/or HSBC, GEMS Education and HSBC reserve the right at their sole discretion to cancel, terminate, modify or suspend the competition as deemed appropriate, disqualify any participant, and/or select winners from all eligible video(s) submitted prior to the termination, cancellation, modification or suspension. 

WINNER SELECTION

1. All submissions will be shared with a GEMS Education selection committee (“Committee”). The Committee will review the videos and shortlist the best submissions based on originality, creativity and adhering to the brief including duration of video.
2. 30 winners will be announced on 17th November 2023. 
3. The decision of the Committee is final and binding on all participants in respect to all matters relating to the Competition winners.
4. Student participants who are not selected as winners will not be notified.

INTELLECTUAL PROPERTY AND RELEASE

1. The Video must be a single work of original material created by the Student. It must not use or contain any content or materials or other intellectual property rights owned or controlled by a third party for which you have not obtained a license, permission or approval for use in accordance with these Competition Terms and Conditions and Release. 
2. Winning Students will be asked to submit a written consent form signed by such Student’s parent or legal guardian which consents to them to attend the workshop. Without this consent form, the Student will not be able to attend the workshop which is being held at The Sevens Stadium in Dubai. 
3. Winning Students may also be asked to submit a written consent form signed by such Student’s parent or legal guardian which consents to the use of the Video by GEMS Education and/or HSBC for promotional purposes. 
4. Videos must not infringe any copyright, trademarks, moral rights or other intellectual property rights of any third party. Any Videos submitted which infringes such intellectual property rights will be disqualified. 
5. The Student participant grants to GEMS Education and/or HSBC, a perpetual, worldwide, non-revocable, non-exclusive, royalty free, sub-licensable right and license to use, publish, reproduce, display, perform, adapt, modify, create derivative works, distribute, have distributed and promote the Video, in whole or in part, in any form, in all media forms now or hereafter known, anywhere in the world and for any purpose, including but not limited to: online highlighting entries or winners of the competition, and promoting the work of GEMS Education and/or HSBC generally. All Student participants (or their parents or legal guardians) shall sign such documents and do such things as reasonably necessary to give effect to such licenses granted. 

LIABILITY

1. By entering the Competition, you agree, to the fullest extent permitted by law, to hold harmless, release, indemnify and discharge GEMS Education and/or HSBC, their partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers and representatives from all liability, claims, judgements, demands, controversies, agreements, damages, actions and causes of action whatsoever, arising out of or related in any way to the Video(s) submitted to GEMS Education and/or HSBC, the Competition or the conduct of the Competition and the acceptance and use, misuse, or possession of any prize awarded, whether in law or in equity, no matter what the cause or nature, and you further waive any claims that you may state or assert against GEMS Education and/ or HSBC in association with the Competition or any of its associated activities, or in any way related to or resulting from the Video(s), competition even if such injury or claims results from or is caused by the negligence or gross negligence of GEMS Education and/or HSBC, in whole or in part. You further agree to indemnify and hold harmless GEMS Education and/or HSBC from any claim arising out of your participation in the Competition including, without limitation, all claims brought or asserted by any third party as a result of any injury or loss that you or they may sustain in any way associated with your participation in the Competition.
2. If GEMS Education and/or HSBC, in their sole discretion, are of the opinion that you have breached any of the Competition Terms and Conditions, we have the right to disqualify you from the competition.
3. Under no circumstance will GEMS Education and/or HSBC be liable for any:
   1. Lost, late, misdirected, stolen, illegible or incomplete submissions.
   2. Error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, submitted video(s);
   3. Problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, on account of technical problems or traffic congestion on the internet, at any website, or on account of any combination of the foregoing.
   4. Incorrect or inaccurate information, caused by any of the equipment or programming associated with or utilized in the competition or by any technical or human error which may occur in the processing of the Video(s) and/or the submissions; and/or
   5. Injury or damage to any participant, resulting from or in connection with the Competition.

GENERAL

1. GEMS Education and/or HSBC accepts no responsibility or liability for any damages, costs or expenses a Student participant may incur as a consequence of any failure to award or delay in awarding the prize for any reason.
2. You hereby consent on behalf of the Student participant in writing for GEMS Education and/or HSBC to use and disclose (to the fullest extent permitted by applicable law) the Student participant’s name, photograph, any oral or written statements, footage, and/or likeness for advertising, trade and/or any other purposes in any media and/or social media and/or on TV now or hereafter known throughout the world in perpetuity, without further compensation, permission or notification. Such written consent shall be in a form provided by GEMS Education and/or HSBC to the winning Students once they have been selected.
3. GEMS Education and/or HSBC reserve the right, in their sole discretion, to modify, suspend, and/or terminate this Competition and the Competition Terms and Conditions (or portion thereof) without any notice to participants, at any time and for any reason whatsoever especially if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Competition or for any other reason.
4. Failure by GEMS Education and/or HSBC to enforce any of its rights under these Competition Terms and Conditions, at any stage, does not constitute a waiver of those rights.
5. Should any provisions of these Competition Terms & Conditions become illegal or unenforceable, such illegality or unenforceability shall not affect the remainder of these Competition Terms and Conditions to the fullest extent permitted by law, unaffected and valid. The illegal or unenforceable provisions shall be replaced by a valid and enforceable provisions which best reflects GEMS Education and/or HSBC’s intentions in a legal and enforceable manner with respect to the invalid or unenforceable provision or portion thereof.

GOVERNING LAW

The Competition and the Competition Terms and Conditions shall be governed by and construed in accordance with the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The Courts of Dubai shall have exclusive jurisdiction to hear and decide any suit, action or proceedings, and/or to settle any disputes, which may arise out of or connection with the Competition. Notwithstanding the foregoing, GEMS Education may seek injunctive or other equitable relief to protect our rights in any court of competent jurisdiction.
